Brief

We are currently looking to recruit up to four solicitors to join the Manchester Corporate Group, ideally two candidates who have from 1 year PQE and two who have from 3 years' PQE.

We are looking for strong corporate lawyers with experience in corporate finance, M&A, listed PLC and AIM work and corporate governance. At least one of the successful candidates (preferably at the more senior level) will have a strong working knowledge of, and good experience in, the private equity market and private equity transactions.

Our Corporate lawyers work with clients at the forefront of their strategic development advising on mergers, acquisitions, disposals, flotations, takeovers, buy-ins and buyouts, joint ventures and investments. Our detailed knowledge and close working relationships with other professionals enables us to achieve the right structure for deals and to bring together appropriate funders and entrepreneurial investors.

We advise listed companies and their institutional advisers on all aspects of their businesses. Our Corporate Finance lawyers have considerable City experience and well-established relationships with City advisers and institutions.

We have extensive experience of advising on public takeovers, both recommended and contested; flotations/initial public offerings; secondary issues including rights issues, placings and open offers; private placements; corporate governance; compliance with companies, securities and financial services legislation including the Listing Rules of the UK Listing Authority and the City Code on Takeovers and Mergers.

The candidate required

The successful candidates will ideally have gained experience in a City firm or large regional practice. Candidates must be technically excellent but equally important, commercially aware and enthusiastic about business development. They will be a team player with a strong client focussed approach. They will also have a strong academic background and excellent communication and organisational skills. 

Examples of recent work

  • Advising Countrywide Assured Group plc on the £545 million demerger of its life and non-life businesses, a return of capital to shareholders and the new main market listings of Countrywide plc (mortgage products and financial services) and Chesnara plc (life assurance);
  • Acting for Latium Group on its £20 million acquisition of HW Plastics Limited from Haywood Williams Group PLC.
  • Acting for the vendors on the BIMBO of kitchen and electrical products supplier, Ultimate Products Limited,  backed by Lloyds TSB Development Capital Ltd (LDC).
